YOSEMITE LAKES OWNERS’ ASSOCIATION BOARD OF DIRECTORS ELECTION

BOARD CANDIDATE INFORMATION

The information provided below outlines certain expectations and responsibilities associated with serving on the Board of Directors. Please note that this is not an exhaustive list of all duties, obligations, or requirements that may arise during a director’s term of service.

Thank you for your interest in serving the community.

The purpose of the Board is to set policy for the Yosemite Lakes Owners Association and to make sure the policies of the Association are carried out.

Duties of a Board Member

1) Attend monthly Board Meetings and special Board Meetings.

2) Read meeting materials prior to the Board Meetings.

3) Research agenda issues in advance to make yourself knowledgeable enough to vote responsibly on items.

4) Read and understand complex material including financial reports, legal opinions, statutes, and regulations.

5) Be familiar with the Governing Documents of YLOA: Bylaws; DORs; Articles of Incorporation; Board policies.

6) Be familiar with Davis-Stirling Act and Robert’s Rules of Order.

7) Attend Director’s Training(s) Meeting, Annual Membership Meeting, Budget Meetings(s).

8) Attend Committee Meetings for which you are appointed, a) keeping committees on track with their purpose, b) conveying committee recommendations to the Board, and c) carrying Board messages to the various committees.

9) Fulfill fiduciary duty as a board member.

10) Directors are expected to maintain strict confidentiality regarding matters discussed in executive session, legal matters, personnel issues, and any other confidential Association business. This duty of confidentiality applies both during a director’s term of office and continues after their service on the Board has ended.

Board Members abide by the YLOA Code of Conduct.

Qualities of a good Board Member:

1) A strong belief in the rules and their applicability to all members, including friends.

2) An ability to work together with the other Board Members as a team, not undermining the Board’s decisions regardless of personal opinion.

3) Having an ability to keep issues and personalities from becoming personal.

4) Allowing a time commitment of approximately 10-20 hours a month for the average Board Member and approximately 40 hours a month for the President’s tasks.
